An entrepreneur recently contacted us. He started fifteen years ago with much enthusiasm his own company in building materials. After some years of growth, it has become a real SME. During the last years, the company had structural losses and the entrepreneur was looking after an improvement of his marketing position in order to enhance his results in a positive way. The mission for Arphius was to organise a turn around as fast and as efficiently as possible. Arphius did a thorough research on the market position and a profound discussion with the management to find out their evaluation of the market.
After analysis of the facts, Arphius concluded that a comprehensive reorganisation plus the combination of commercial management capacity and, a capital injection would do the job for the turn around. A business plan was developed to incorporate the new opportunities. Based on that, Arphius did a search in its network to find suited investors. After finding an investor, and implementing the other aspects of the business plan, the company is now profitable again and is even considering starting a new establishment abroad.

An entrepreneur had health problems and expressed the wish to sell his company. He met one of the team members of Arphius and started a discussion on this subject.
The Arphius team had a talk with the other shareholders and with the management during which it became obvious that the management was interested to continue the business. Based on a profound analysis and in concert with departing shareholders as well as with the management in position , Arphius developed a number of options for a Management Buy Out. One of the items was how to finance the take over of the shares for which a construction was developed. Contacts were made and negotiations were started with banks and investors to find a suited financing. After reaching an agreement, Arphius organised and guided the transmission from the current to the new shareholders. And they lived long and happy thereafter…..

A young entrepreneur runs a company, supplying the automotive sector for years. Although seeing many opportunities outside this niche, the shareholders and the management did not succeed in meeting this challenge. They decide to contact the Arphius team for an open-ended talk. Arphius brought several opportunities forward and the company decided to give green light for further research. At the same moment, Arphius was asked by another company to extend the focus of this company by a merger or a joint venture with another company. As the Arphius analysis of the strategic potentials of the niche company went into the same direction, a strategic plan for setting up a joint venture between both companies was developed. This was done in close and transparent contact with both companies. The venture proposal was accepted by both companies and elaborated by Arphius.

Because he had good and successful experiences with the services of Arphius and their network in Belgium and abroad, he renewed the contacts. After some discussions, Arphius selected several companies meeting the criteria. After a first review of the companies who reacted positive on the proposal for a potential take-over, the strategy for the continuation of the process was refined in close cooperation with the entrepreneur. Arphius coordinated, after a first round of negotiating, the due diligence as well as the closing of the negotiation. The company was acquired at an acceptable price and Arphius accompanied the take over in order to obtain good post acquisition integration.

A shareholder in a limited company wanted to cease his activities and to sell his shares to a fellow shareholder. The selling shareholder had a different share price in view than the remaining shareholders. Although the by laws stipulated a procedure on put and call option in the case of selling shares, Arphius was asked to make a valuation of the company based on present assets ant future results. A valuation report was made and discussed with all shareholders. A discussion based on that analysis took place and the shareholders negotiated a fair price. Arphius structured the deal and supervised its juridical elaboration in combination with appointed lawyers.
